Frame each issue precisely and analyse it under applicable Malaysian legislation, the constitution, shareholders’ agreement and transaction documents. Address contrary interpretations and the facts capable of changing the conclusion. For each issue provide a conclusion, confidence level, principal risk and recommended action. Where authority research is unavailable, identify the exact proposition requiring research rather than inventing an authority. Conclude with a practical implementation plan, required approvals, filings and documents.
