Draft a Defence for `[DEFENDANT]` in answer to `[STATEMENT OF CLAIM]`, using `[CLIENT INSTRUCTIONS]` and `[MATERIALS]`.

Respond paragraph by paragraph. Use admissions, non-admissions and denials accurately. Every denial should state the Defendant’s positive case where one exists. Avoid evasive denials and do not deny matters that the documents establish.

Plead all affirmative defences and material facts relied upon, including any relevant limitation, jurisdiction, standing, contractual construction, performance, waiver, estoppel, illegality, causation, remoteness, mitigation, set-off or failure of proof. Preserve properly supportable alternative positions.

If the client’s instructions conflict with objective records, flag the conflict before the draft and use a placeholder rather than selecting a convenient version. Conclude with the appropriate prayer and provide a post-draft table of admissions, disputed issues and evidence required.
