Identify best, realistic and worst litigation outcomes; key uncertainty drivers; irrecoverable cost and management burden; enforcement risk; non-monetary objectives; confidentiality and precedent concerns; and timing leverage. Develop a principled negotiation range and package options without false numerical precision. Include payment structure, releases, discontinuance, costs, interest, confidentiality, non-disparagement if relevant, enforcement/default terms, tax or regulatory allocation issues and authority to settle. Separate internal strategy from language suitable for a without-prejudice proposal.
